Terms of use-Trade Network Inc.

Welcome to Trade Network. By accessing or using our website, services, or barter platform, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services.

1. Eligibility and Membership

You must be at least 18 years old to use our services. To participate in the Trade Network barter exchange, you must complete a membership application and be approved. All members agree to follow the Rules and Regulations outlined in their signed Membership Agreement.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you suspect unauthorized use, contact us immediately.

3. Trade Transactions

Trade Network operates as a barter exchange and third-party record keeper for its members. All transactions must be processed through Trade Network using approved methods. A Trade Dollar represents a unit of account equal to one U.S. Dollar in value but is not redeemable for cash. Trade Dollars are not legal tender, securities, or commodities. Members agree to price offerings at fair market value and conduct transactions in good faith.

Members acknowledge that Trade Network is not a party to trade agreements between members. Responsibility for the conduct and fulfillment of trade transactions rests solely with the buyer and seller. Trade Network reserves the right to regulate exchange activity, control trade flow, and take commercially reasonable actions to preserve the integrity of the marketplace.

4. Fees and Payments

All members agree to pay fees as specified in their signed Membership Agreement, including trade and cash service fees. Late or unpaid fees may result in account suspension.

5. Acceptable Use

You agree not to:

Misrepresent your products or services
Violate any applicable law
Interfere with the integrity of the platform

Trade Network may suspend or terminate accounts that violate these terms.

6. Intellectual Property

All content, trademarks, and materials on our website are the property of Trade Network or its licensors. You may not copy or use them without written permission.

7. Third-Party Services

We may link to external sites or use third-party services. We are not responsible for their content, practices, or availability.

8. Disclaimer and Limitation of Liability

Our services are provided “as is” and without warranties of any kind. Trade Network does not guarantee the quality, availability, or delivery of goods or services traded between members. We do not act as an agent or guarantor in any trade transaction.

By participating in the Trade Network barter exchange, you agree to indemnify, hold harmless, and defend Trade Network and its affiliates from any claims, liabilities, or disputes arising from your participation in trade, including but not limited to issues involving product quality, service disputes, delivery, or professional malpractice.

Members acknowledge that trade transactions are voluntary and between the principals (buyer and seller) involved.

9. Termination

Either party may terminate membership by providing written notice. Trade Network may also suspend or terminate accounts for violations of these Terms or the Membership Agreement. Upon termination:

Any outstanding fees become immediately due in cash
Any remaining trade balances must be resolved in accordance with the Membership Agreement
Members may be permitted a defined period to spend down positive trade balances, subject to approval

Trade Network reserves the right to recover amounts owed through any lawful means.

10. Modifications

We may update these Terms from time to time to reflect changes to our business practices, legal obligations, or service features. When we do, we will post the revised Terms with a new effective date.

If the changes are material, we will provide reasonable advance notice. By continuing to use our services after the changes become effective, you agree to be bound by the updated Terms.

If you do not agree to the modified Terms, you may discontinue your use of the services at any time.

11. Governing Law

These Terms are governed by the laws of the State of Michigan. Disputes will be resolved in Ingham County or the U.S. District Court for Western Michigan.
